Binance Wallet Opens Pre-IPO Access Through PancakeSwap

Binance Wallet is moving into onchain pre-IPO products with a new Pre-Access program hosted by PancakeSwap, allowing users to subscribe to tokenized instruments linked to private companies that could eventually go public.

The launch comes as crypto platforms compete to bring private-market exposure onchain. Binance Research estimates that tokenized pre-IPO products from Republic and PreStocks currently have a combined market capitalization of just $41 million, highlighting how early the market remains.

Unlike buying shares through a conventional private-market transaction, however, Pre-Access does not automatically make participants shareholders in the underlying company. The exact economic and legal rights will depend on the structure disclosed for each campaign.

How Binance Pre-Access Will Work

Pre-Access campaigns will be available through Binance Wallet and hosted by PancakeSwap. Users will subscribe during a defined campaign window, with participation quotas influenced by their activity within the Binance ecosystem.

According to the launch details, users can increase their potential quota through Binance Alpha Points, onchain bStocks trading volume and bStocks holdings. Assets remain under users’ control through self-custodied wallets during the process.

The first participating company has yet to be announced, leaving several important details unknown, including the token’s issuance price, implied company valuation, redemption mechanism and the legal structure connecting the instrument to the underlying private equity.

Those terms will ultimately determine what investors are buying.

Tokenized Exposure Is Not the Same as Owning Shares

That distinction is particularly important in the pre-IPO market.

Binance Research notes that most tokenized pre-IPO instruments represent contractual claims linked to private-company shares rather than direct ownership. Depending on the structure, holders can instead be creditors, indirect beneficiaries, fund investors or holders of a derivative claim.

Such instruments can carry risks that do not exist in ordinary listed equities. These include issuer counterparty exposure, dilution, fees, lockup periods and uncertainty over whether the private company recognizes the structure behind the token.

Some companies recognize only approved share transfers, meaning ownership of a token does not necessarily translate into a position on the company’s capitalization table.

This also means the eventual Pre-Access disclosure will matter more than the company name alone. Investors will need to know who issues the token, what backs it, how its value is calculated and what happens if the expected IPO never occurs.

Crypto Demand for Pre-IPO Markets Is Growing

Binance is entering the subscription market after demand for a different form of private-company exposure, pre-

IPO perpetual futures, expanded sharply this year.

Combined open interest in Anthropic and OpenAI pre-IPO perpetuals surpassed $160 million in September, compared with roughly $1 million in April. Binance accounted for approximately one-third of the market.

Trading activity has expanded as well. Aggregate pre-IPO perpetual volume reached $436 million in June, while September volume had already exceeded $98 million after only 14 days. Anthropic and OpenAI represented roughly 95% of that September activity.

Tokenized pre-IPO products remain much smaller, suggesting Binance Wallet is targeting a segment that has yet to see the same adoption as derivatives.

The first Pre-Access campaign should provide the missing details needed to judge the model. The key numbers will not only be the company’s valuation and subscription demand, but also the token’s backing, redemption rights and relationship to actual private shares.
